2. Acceptance of These Terms

By accessing our website, submitting a payment, providing a payment method, authorizing a campaign, accepting a lead, or otherwise using our services, you confirm that you have read, understood, and agreed to these Terms and our Refund and Cancellation Policy.

If you accept these Terms for a company or another person, you represent that you have full legal authority to bind that company or person.

If you do not agree to these Terms, you must not purchase or use our services.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use our services.

Our lead-generation services are offered for commercial and professional purposes. By purchasing leads, you represent that you are acquiring them in connection with a business, profession, trade, commercial activity, or income-producing activity.

You are solely responsible for determining whether the services are suitable and lawful for your intended use.

4. Services

Pay When It Works provides pay-per-lead marketing services. We create, fund, operate, and manage campaigns intended to generate potential customer inquiries for our clients.

Customers pay only for leads generated or delivered under the agreed pricing arrangement. Unless expressly agreed in writing, customers are not separately charged for advertising spend, campaign setup, software, or campaign-management expenses.

We determine how campaigns are created, managed, optimized, paused, modified, and operated. This may include selecting advertising platforms, campaign structures, targeting methods, budgets, creative materials, forms, landing pages, communication methods, and lead-delivery systems.

We may use employees, contractors, advertising platforms, payment processors, software providers, and other third parties to provide the services.

5. No Minimum Lead Commitment

Unless expressly agreed in writing, Pay When It Works does not guarantee that any minimum or maximum number of leads will be generated or delivered within a particular period.

Campaign performance may vary based on market conditions, location, customer demand, advertising-platform decisions, seasonality, competition, budget allocation, legal restrictions, and other factors outside our control.

We may increase, decrease, pause, or stop campaign activity at any time.

6. Pricing and Payment

The customer’s price per lead may be established through a sales call, written communication, payment link, order confirmation, or another communication between Pay When It Works and the customer.

All prices and payments are in U.S. dollars unless otherwise stated.

Customers may be required to pay an initial $1.00 activation charge. By completing that payment and providing a payment method, the customer authorizes Pay When It Works and its payment processors, including Stripe or Whop, to:

  • Store the customer’s payment method
  • Verify the payment method
  • Charge the agreed price for leads generated or delivered
  • Process lead charges individually or in batches
  • Collect outstanding amounts for leads generated or delivered before cancellation

This authorization remains active until the customer cancels in accordance with these Terms. Cancellation does not affect charges already incurred.

Customers must maintain a valid payment method with sufficient funds. The customer is responsible for any applicable bank fees, currency-conversion fees, taxes, or other charges imposed by third parties.

7. Pricing Changes

Pay When It Works may change the customer’s price per lead, campaign criteria, targeting terms, or other commercial terms for future leads by providing notice to the customer.

The customer may cancel before the new terms take effect. Continued use of the service or acceptance of leads after the effective date of the change constitutes acceptance of the updated terms.

Pricing changes will not retroactively alter charges already incurred.

8. Lead Definition and Delivery

A lead consists of information that allows the customer to contact a person regarding the customer’s service or offer.

Leads may be delivered by email, text message, or any other method selected by Pay When It Works.

A lead is considered delivered and billable when its contact information is sent to the email address, telephone number, account, system, or other destination provided or approved by the customer.

Delivery is complete regardless of whether the customer opens, reviews, responds to, contacts, or uses the lead.

9. Nature of Leads

A lead represents a potential contact only. It does not represent a guaranteed customer, qualified prospect, appointment, sale, or business opportunity.

We do not guarantee:

  • The accuracy or completeness of information submitted by a lead
  • That a lead will answer or respond
  • That a lead remains interested
  • That a lead can afford or qualifies for the customer’s service
  • That a lead will schedule or attend an appointment
  • That a lead will purchase anything
  • That a lead has not contacted another provider
  • That a lead was not previously known to the customer
  • Any particular contact, appointment, conversion, closing, revenue, profit, or return-on-investment rate
  • Any specific business result

The customer assumes the full commercial risk associated with contacting, qualifying, and attempting to convert each lead.

10. Customer Information and Campaign Materials

The customer must provide complete, current, lawful, and accurate information about its business, identity, licenses, services, products, pricing, availability, qualifications, and offer.

The customer is solely responsible for all statements, claims, warranties, prices, promotions, images, trademarks, logos, documents, website content, and other materials it provides or makes available to Pay When It Works.

The customer represents and warrants that:

  • It owns or has all necessary rights to its materials.
  • Its offer and business activities are lawful.
  • Its claims are truthful and not misleading.
  • It holds all required licenses, permits, registrations, insurance, and approvals.
  • Our authorized use of its materials will not infringe another person’s rights.
  • Its services do not violate any applicable law or platform rule.

Pay When It Works may rely on information provided by the customer without independently verifying it.

11. License to Customer Materials

The customer grants Pay When It Works a broad, worldwide, royalty-free, fully paid, sublicensable, transferable, irrevocable, and nonexclusive license to access, host, store, reproduce, modify, adapt, translate, publish, display, distribute, create derivative works from, advertise with, and otherwise use all customer-provided materials.

This license permits us to use those materials:

  • To create and operate campaigns
  • To promote or improve our services
  • In advertisements and marketing
  • In case studies and portfolio materials
  • On websites and social-media accounts
  • For internal training, analysis, and business operations
  • For any other lawful business purpose

The customer confirms that it has sufficient authority to grant this license. The customer is responsible for claims resulting from materials it provides or authorizes us to use.

To the extent legally permitted, this license survives cancellation or termination.

12. Ownership of Pay When It Works Materials

Pay When It Works retains all rights, title, and interest in its:

  • Advertising campaigns and campaign structures
  • Targeting strategies and audiences
  • Advertising accounts
  • Landing pages and forms
  • Copy, images, videos, and designs
  • Workflows, systems, software, and processes
  • Research, data models, methods, and know-how
  • Reports, templates, documents, and internal materials
  • Improvements, modifications, and derivative works

Paying for leads does not transfer ownership of these materials to the customer.

The customer receives only the right to use lawfully delivered lead information for its permitted business purposes, subject to applicable law.

13. Customer Use of Leads

After delivery, the customer is solely responsible for how it stores, processes, contacts, markets to, communicates with, sells to, or otherwise uses each lead.

The customer must independently determine whether and how it may lawfully contact a lead.

The customer is solely responsible for compliance with all applicable:

  • Privacy and data-protection laws
  • Telemarketing and do-not-call laws
  • Text-messaging and telephone-consumer-protection laws
  • Email-marketing and anti-spam laws
  • Advertising and consumer-protection laws
  • Licensing and industry-specific rules
  • Consent, disclosure, recordkeeping, and opt-out requirements

The customer must promptly honor all opt-out, unsubscribe, deletion, and do-not-contact requests applicable to its communications.

Pay When It Works is not the customer’s attorney, compliance provider, sales agent, or legal adviser.

14. Prohibited Uses

Customers may not use our services or lead information to:

  • Violate any law, regulation, court order, or platform rule
  • Commit fraud, deception, impersonation, or misrepresentation
  • Harass, threaten, abuse, or discriminate against anyone
  • Send unlawful calls, texts, emails, or advertisements
  • Sell unlawful, fraudulent, dangerous, or prohibited products or services
  • Violate privacy, publicity, intellectual-property, or contractual rights
  • Introduce malware or interfere with our systems
  • Avoid, reverse, or dispute valid payment obligations dishonestly
  • Damage the reputation, systems, or business relationships of Pay When It Works
  • Engage in any conduct we reasonably consider harmful or high risk

We may refuse or terminate service if we suspect a violation.

15. Refunds and Billing Errors

All payments are final and nonrefundable to the fullest extent permitted by law.

Refunds, account credits, billing-error corrections, lead billability, and cancellation obligations are governed by our Refund and Cancellation Policy, which is incorporated into these Terms.

If there is a conflict concerning refunds or cancellation, the Refund and Cancellation Policy controls.

16. Cancellation

Customers may cancel future campaign activity by emailing:

support@paywhenitworks.com

We will stop active outreach as soon as reasonably possible after receiving the request.

Cancellation applies only to future activity. Every lead generated, acquired, processed, or delivered before we received the cancellation request remains billable.

The customer authorizes us to process outstanding charges after cancellation for leads generated or delivered before cancellation.

17. Suspension and Termination by Pay When It Works

We may refuse, restrict, pause, suspend, or terminate any campaign or customer relationship at any time if we reasonably believe it is necessary because of:

  • Failed, reversed, disputed, or overdue payments
  • Suspected fraud or unauthorized activity
  • Legal, regulatory, platform, or compliance concerns
  • Abusive, threatening, dishonest, or harmful conduct
  • Reputational or financial risk
  • Inaccurate or misleading customer information
  • A violation of these Terms
  • Operational or business considerations
  • Any other reasonable business reason

Suspension or termination does not eliminate the customer’s obligation to pay charges already incurred.

18. Third-Party Services

Our services may rely on third-party advertising platforms, payment processors, hosting providers, software systems, communication providers, data sources, and other vendors.

We do not control and are not responsible for third-party outages, suspensions, policy changes, account restrictions, data loss, pricing changes, delivery failures, advertising decisions, or other third-party acts or omissions.

The availability of our services may be affected by third-party systems without notice.

19. Disclaimer of Warranties

To the fullest extent permitted by law, the website, services, campaigns, leads, and all related materials are provided on an “as is” and “as available” basis.

Pay When It Works disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, noninfringement, and business performance.

We do not warrant that:

  • The services will be uninterrupted or error-free.
  • Every campaign will produce leads.
  • Lead information will be accurate or complete.
  • Advertising platforms will approve or continue running a campaign.
  • Leads will respond, qualify, purchase, or produce revenue.
  • The services will meet the customer’s expectations.

The customer uses the services and leads at its own risk.

20. Limitation of Liability

To the fullest extent permitted by law, Pay When It Works and its owner, personnel, contractors, representatives, providers, and affiliates will not be liable for any:

  • Indirect, incidental, special, exemplary, punitive, or consequential damages
  • Lost revenue, profits, opportunities, savings, data, goodwill, or business
  • Advertising losses or wasted expenditure
  • Failure to contact or convert a lead
  • Customer complaints, refunds, disputes, or chargebacks
  • Legal or regulatory claims arising from the customer’s conduct
  • Misuse of lead information
  • Inaccurate information submitted by customers or leads
  • Third-party acts, omissions, outages, or platform decisions

To the fullest extent permitted by law, the maximum combined liability of Pay When It Works for all claims arising from or related to the services will not exceed the total amount the customer paid to Pay When It Works during the 30 days immediately preceding the event giving rise to the claim.

These limitations do not apply to liability that cannot legally be excluded or limited.

21. Customer Responsibility and Indemnification

The customer is solely responsible for its business, offer, products, services, employees, contractors, sales activities, communications, regulatory obligations, and use of lead information.

To the fullest extent permitted by law, the customer agrees to defend, indemnify, and hold harmless Pay When It Works, its owner, personnel, contractors, representatives, providers, and affiliates from all claims, demands, investigations, proceedings, damages, fines, penalties, judgments, settlements, losses, liabilities, and reasonable legal expenses arising from or relating to:

  • The customer’s products, services, business, or offer
  • Materials or information supplied by the customer
  • Claims made by the customer
  • The customer’s communications with leads
  • The customer’s storage or use of lead information
  • Calls, texts, emails, advertisements, or other marketing by the customer
  • A customer’s actual or alleged violation of law
  • A customer’s violation of these Terms
  • Injury, damage, loss, or dissatisfaction caused by the customer
  • A third-party intellectual-property or privacy claim involving customer materials
  • A regulatory inquiry concerning the customer’s activities
  • Fraud, negligence, misconduct, or misrepresentation by the customer

This section survives cancellation and termination.

22. Force Majeure

Pay When It Works is not responsible for delays, interruption, nonperformance, or loss caused by events beyond its reasonable control.

Such events may include internet or utility failures, platform outages, advertising-account restrictions, labor disputes, government action, changes in law, natural disasters, war, terrorism, civil unrest, epidemics, cyberattacks, supplier failures, payment-system failures, or other events outside our reasonable control.

23. Privacy

Our collection and use of personal information are governed by our Privacy Policy.

Customers must maintain their own legally sufficient privacy notices and procedures where required. The customer is independently responsible for its use of any personal information received through the service.

24. Electronic Communications

The customer agrees to receive contractual notices, payment notices, campaign communications, and other service-related messages electronically.

Notices may be delivered through email, text message, the payment platform, or the contact information supplied by the customer.

The customer must maintain accurate contact information. A notice is considered received when sent to the most recent contact information provided by the customer.

25. Changes to the Services or Terms

We may modify the services or these Terms when reasonably necessary for legal, security, operational, payment-processing, platform, or business reasons.

Material changes will apply prospectively after notice or publication. Continued use of the service after updated Terms take effect constitutes acceptance of those Terms.

Changes will not retroactively eliminate rights that already accrued under mandatory law.

26. Assignment

The customer may not assign, transfer, delegate, or resell its rights or obligations under these Terms without our prior written consent.

Pay When It Works may assign or transfer these Terms, customer accounts, payment rights, and business operations as part of a restructuring, sale, transfer, financing, or other lawful business transaction.

27. Entire Agreement

These Terms, the Refund and Cancellation Policy, the Privacy Policy, the applicable payment-link description, and any written pricing agreement constitute the entire agreement between Pay When It Works and the customer regarding the services.

They replace prior discussions, proposals, representations, or understandings concerning the same subject.

If specific written commercial terms conflict with these Terms, the specific written commercial terms control only for that customer and only for the conflicting issue.

28. Severability

If any provision is found invalid, illegal, or unenforceable, it will be enforced to the maximum extent permitted by law. The remaining provisions will continue in effect.

29. No Waiver

A failure or delay by Pay When It Works in exercising a right does not waive that right.

Any waiver must be express and in writing. A waiver concerning one event does not waive rights concerning another event.

30. Governing Law and Jurisdiction

These Terms and the relationship between Pay When It Works and the customer are governed by the laws of France, without regard to conflict-of-law principles.

Subject to mandatory jurisdiction and consumer-protection laws, all disputes arising from or relating to these Terms, the services, leads, payments, or the relationship between the parties will be submitted to the competent courts of France.

Before starting formal proceedings, the customer must first send a written description of the dispute to support@paywhenitworks.com and allow Pay When It Works a reasonable opportunity to respond.

31. Mandatory Rights

Nothing in these Terms excludes, restricts, or waives any right or liability that cannot legally be excluded, restricted, or waived.

If mandatory law conflicts with these Terms, mandatory law applies only to the extent of that conflict. The remaining provisions continue in full force.
